End User License Agreement

Draft / placeholder notice: This page is a structural scaffold prepared ahead of a future integration with Intuit's QuickBooks Online API (via OAuth 2.0). This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User," "Client," "you," or "your") and Tall Timber Homes ("Company," "we," "us," or "our"), governing your use of [TO COMPLETE: Application/Service Name] (the "Application"), which connects to your QuickBooks Online ("QBO") account via Intuit's QuickBooks API.

By connecting your QuickBooks Online account to the Application, or by otherwise accessing or using the Application, you agree to be bound by this Agreement. If you do not agree to these terms, do not connect your account or use the Application.

1. Description of the Application

2. License Grant

Subject to your compliance with this Agreement, Tall Timber Homes grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your own internal business purposes. This license does not include any right to resell, sublicense, or distribute the Application.

3. Authorized Use of Your QuickBooks Account

By connecting a QuickBooks Online account to the Application, you represent that you are an authorized user of that account with the authority to grant the Application access to it, and that doing so does not violate any agreement between you and Intuit or any other third party.

4. Data Accessed and How It Is Used

[TO COMPLETE] List the specific QuickBooks Online data the Application requests access to (e.g., customers, invoices, items, payments) and the OAuth scopes used. Describe exactly how this data is used, whether it is stored (and where/how long), and confirm it is not sold to third parties.

We do not sell QuickBooks Online data accessed through this Application to third parties.

5. Security

We use reasonable administrative, technical, and physical safeguards designed to protect data accessed through the Application, including encrypted connections (TLS) for data in transit.

6. Disconnecting / Revoking Access

You may disconnect the Application from your QuickBooks Online account at any time, either through your Intuit account's connected apps settings or by contacting us at the email address below. Disconnecting will disable any features of the Application that rely on QuickBooks Online data, and we will stop accessing your QuickBooks data going forward.

All right, title, and interest in and to the Application — excluding any data you provide or that is accessed from your QuickBooks Online account — remain the property of Tall Timber Homes or its licensors.

9. Term and Termination

This Agreement remains in effect until terminated. We may suspend or terminate your access to the Application at any time, with or without notice, including for any violation of this Agreement. Upon termination, your license to use the Application ends, and any active connection to your QuickBooks Online account will be disconnected.

10. Disclaimer of Warranties

The Application is provided "as is" and "as available," without warranties of any kind, either express or implied, to the fullest extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by law, Tall Timber Homes shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Application.

12. Governing Law

This Agreement is governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles.

13. Changes to This Agreement

We may update this Agreement from time to time. Any changes will be posted on this page with an updated "Last updated" date, and material changes will be communicated to active users where practical.
